Terms of Service

These terms govern your use of Zyba. By creating a space or using the service, you agree to them. If you are using Zyba on behalf of a business, you confirm you are authorised to do so.

The service

Zyba lets you build “spaces” — public pages, menus, WiFi and other content — behind QR codes, and run orders, bookings and analytics from an operator dashboard. We may add, change or remove features over time.

Your account

Operator accounts are for businesses. Keep your sign-in secure; you are responsible for activity under your account and for the content you publish.

Acceptable use

  • Use Zyba lawfully and only for content you have the right to publish.
  • Do not publish illegal, misleading or harmful content.
  • Do not misuse codes, attempt to disrupt the service, or access it without authorisation.
  • Do not resell or sub-licence the service without our agreement.

Your content

You own the content you add. You grant us the licence needed to host and display it to deliver the service. You are responsible for the accuracy of your menus, prices and availability, and for handling any guest data you collect through your space in line with applicable law.

Payments & billing

Paid plans are priced in Zambian Kwacha. Mobile money is our primary method, with card payment also available. We bill by issuing an invoice and a payment prompt (a mobile-money USSD prompt or a hosted card page) — we do not silently auto-charge a stored card. Fees may be subject to tax. Non-payment may lead to suspension of a paid space. Refunds and cancellations are governed by our Refund & Cancellation Policy.

Selling through Zyba

Where a guest pays through Zyba, Zyba is the seller of record. Zyba buys the stay, activity, meal or goods from you and resells them to the guest. Zyba owes you for that sale whether or not the guest’s payment ultimately clears — if a card is later reversed or a settlement fails, that is Zyba’s loss to carry, not yours to refund.

Two separate agreements are formed, and it matters which is which:

  • The booking — between Zyba and the guest. It covers what was booked, the price, cancellation and refunds. Zyba’s policy governs it and Zyba decides refunds under it.
  • The service — between you and the guest, formed when the service is delivered: at check-in, at vehicle pickup, at the start of a tour, at the table. It covers the room, the vehicle, the meal, house rules, damage and deposits. You own it. Zyba is not a party to it and is not responsible for delivery.

Some listings are discovery only. There Zyba takes no payment at all, the guest pays you directly, and none of the money terms below apply.

What Zyba charges you

Two separate charges, and they are not the same thing. A processing rate applies wherever Zyba collects money, on every line. It is Zyba’s own rate, not a pass-through of the payment provider’s charge. A commission applies only on lines where Zyba brought you the guest — stays, tours, experiences and vehicle hire. In-venue ordering and storefront carry no commission; those lines are paid for by subscription.

Current rates are shown in your dashboard and on any rate schedule we agree with you. We will tell you before a rate changes; a change applies to sales made afterwards, never to sales already recorded.

Money Zyba holds for you

Guests pay Zyba, not you. What Zyba then owes you is a debt from Zyba to you — a receivable — and not money held in your name, in trust, or in an account belonging to you. You are an unsecured creditor for the net amount until it is settled.

Zyba settles on the cadence agreed with you. Zyba may withhold a stated percentage of amounts owed for a stated period (a reserve) to cover refunds, chargebacks and bookings that are not honoured. The percentage and the holding period are set per supplier and shown to you.

Set-off

Zyba may deduct from any amount it owes you: guest refunds Zyba has paid, chargebacks and reversals, subscription and other fees you owe Zyba, and any handling charge stated below. This applies across every line you operate through Zyba — an amount arising from your stays can be recovered from what Zyba owes you for your restaurant, and the other way round.

Honouring bookings

A confirmed booking must be honoured. If it is not, Zyba refunds the guest and may recover that refund from you under set-off, together with a handling charge. Zyba pays the guest first and settles with you afterwards; the guest is never left to chase you.

What you tell guests

You supply the terms shown to a guest before they pay — check-in and check-out times, deposits taken at arrival, house rules, what insurance a rental includes and its excess, licence requirements, fitness requirements, minimum numbers, allergens, and anything else that affects what the guest is buying. Zyba shows those terms and records exactly what was shown at the moment of purchase.

You warrant that what you supply is accurate and current, and you indemnify Zyba against losses arising from a statement of yours that was not. Keeping it current is your obligation, not ours.

Deposits, damage and insurance

Damage deposits, security deposits and any charge for damage are yours, taken from the guest by you at the point of service. Zyba never charges, holds, releases or arbitrates a deposit and is not a party to any dispute about one.

Insurance is entirely your responsibility. Zyba does not provide, arrange, broker or sell insurance of any kind, and nothing Zyba displays about your cover is an assurance from Zyba that it exists or is adequate.

Verification

Before a listing goes live, and from time to time afterwards, Zyba may verify your business — including by visiting the premises. Zyba may decline to list, or suspend a listing, where verification is outstanding or unsatisfactory.

Guest details

Zyba shares the guest details you need in order to deliver the service, at the point you need them. You may use those details only to deliver that booking. You may not use them to solicit direct bookings, to market to the guest, or to add them to a list.

Availability

The service is provided “as is”. We work to keep it reliable and fast, but we do not guarantee uninterrupted or error-free operation.

Limitation of liability

To the fullest extent permitted by law, Zyba is not liable for indirect or consequential loss, or for loss of profit, revenue or data, arising from your use of the service.

Termination

You may stop using Zyba at any time. We may suspend or end access if these terms are breached. On termination your right to use the service ends.

Governing law

These terms are governed by the laws of the Republic of Zambia.

Changes

We may update these terms; continued use after a change means you accept the updated terms.
